MDU subsidiary notice

PUBLIC NOTICE
Pursuant to the Wyoming Administrative Procedure Act and the Public Service Commission of Wyoming’s (Commission) Rules and Regulations, notice is hereby givenof the Joint Application (Application) of MDU Resources Group, Inc., (MDUR) and Montana-Dakota Utilities Co. (MDU), a subsidiary of MDUR (collectively the Parties) for clarification of securities reporting and financing approval, as more fully described below:
MDU is a public utility as defined in Wyo. Stat. §§ 37-1-101(a)(vi)(C) and (D), subject to the Commission’s jurisdiction pursuant to Wyo. Stat. § 37-2-112.
On November 20, 2018, the Commission issued an Order approving the Joint Application of MDU and MDUR for a corporate reorganization. The reorganization resulted in MDU becoming a separate subsidiary of MDU Energy Capital LLC (MDU Energy Capital), which, in turn, is a subsidiary of a new holding company MDUR. MDU continues to provide public utility services in North Dakota, South Dakota, Montana, Minnesota and Wyoming.
On February 22, 2019, the Parties filed their Joint Application with the Commission requesting clarification of the securities approval and reporting requirements of MDUR. Prior to the reorganization, MDUR and MDU would seek approval to issue securities. Following the implementation of the reorganization on January 1, 2019, MDUR’s first level subsidiary, MDU Energy Capital, now holds the common stock and will serve as a second-level holding company for MDU. As a subsidiary of MDU Energy Capital, MDU will retain all the debt securities received as part of the reorganization, which securities were issued, and the proceeds used, exclusively for utility operations. As the reorganization established a new corporate structure, MDUR now requests clarification that it is not required to seek approval for security issuances.
This is not a complete description of the Joint Application. Interested persons may inspect the Joint Application at the Commission’s offices, located at 2515 Warren Avenue, Suite 300, Cheyenne, Wyoming. The Joint Application is available for inspection by any interested person during regular business hours or online at: http://psc.state.wy.us/.
Anyone desiring to file a public comment, statement, intervention petition, protest or request for a public hearing in this matter must file with the Commission in writing on or before April 15, 2019. Any intervention request filed with the Commission shall set forth the grounds of the proposed intervention or request for hearing as well as the position and the interest of the petitioner in this proceeding.
